**Responsibilities**
- Assist with wide range of corporate transaction, including but not limited to mergers and acquisitions, investments, and other strategic transactions in all stages, from performing and overseeing due diligence, drafting, reviewing and negotiating term sheet and definitive transaction documentation, and supporting the closing transactions and post-closing integration.
- Draft and assist with the preparation of corporate transactions' related board and/or committee meeting or resolutions.
- Maintaining the regulatory compliance of Fuse Group, including without limitation regulatory reporting and filing, and governmental responses.
- Managing external counsel, liaising with stakeholders and executive across the organization. Manage project effectively, with a team-oriented approach.
**Qualifications**
- Bachelor degree in law, with 5 -7 years of relevant corporate experience at a reputable law firms and/or in-house legal practitioner, with an excellent level of transactional legal experience primarily in M&A, venture capital, and investment transactions.
- Having working experience in conducting an IPO is an advantage
- It would be highly preferable if you had experience of cross-border projects
- Excellent negotiation and drafting skills.
- Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions or projects
- Good command of written and spoken English
