**The Role**
Legal framework creates the ecosystem where transactions take place.
As the Corporate Legal Manager, you will play an important role in areas of corporate governance, corporate structuring/restructuring, licensing acquisition & maintenance, and mergers & acquisition.
You will help create a governance framework, structure inter-company relationships, and delineate what is and what is not legally permissible.
Most importantly, you will utilize your legal knowledge to help the business navigate the regulatory maze and achieve its commercial objectives.
- The Corporate Legal Manager will report directly to GudangAda's most senior legal counsel, the VP Head of Legal.
- This position is permanent.
**Key Responsibilities**:
The Corporate Legal Manager will be responsible for the following:
1.
Preparing and assisting with the execution of corporate legal documents, ranging from shareholders resolutions, general meetings of shareholders, minutes of board meetings, and corporate approvals.
2.
Assisting the Head of Legal in creating a governance framework.
This includes mapping out compliance and key obligations, as well as following through with those obligations.
3.
Liaising with GudangAda's corporate secretary.
4.
Assisting with funding-related due diligence.
5.
Assisting with merger and acquisition transactions, as well as post-M&A integration.
6.
Assisting the Head of Legal in developing contract risk management policy and implementing that policy in GudangAda's contracting process; and
7.
Assisting the Corporate Legal Team with permit acquisition and regulatory compliance.
**Key Performance Indicator**
- Drafting accuracy and turnaround time.
- Supporting other functions with shareholding and corporate-governance-related matters.
- Management and administration of licenses, permits, and corporate documents.
**What We Look For**:
Must-Have:
- Bachelor's degree in law (Sarjana Hukum) with 3.00 GPA from reputable universities.
- At least 3 years experience in the following combination: (1) Reputable transactional law firm; or alternatively (2) In-house counsel with no less than 2 years experience working at a reputable transactional law firm(s).
- Demonstrable experience in merger & acquisition or corporate governance work.
- Ecosystem-minded legal counsel with basic exposure in structuring and inter-company agreements
- Good contract drafting skill.
- Excellent verbal and written communication in English and Bahasa Indonesia.
- Ability to work collaboratively and influence other stakeholders.
- A team player who is comfortable with rolling up your sleeves and quickly adapting to changes in business direction.
Pluses and Bonuses:
- Admitted to Indonesia's bar association (PERADI or similar);
- Master's degree in law, business, management, or economics.
- Experience working at (as in house-counsel) or working with (as external counsel) multinational corporations (preference is US, UK, EU, Australian, Japanese, or Singaporean companies), or publicly listed corporations or subsidiaries of a public corporation
- Working for/with/at/opposite venture capitals or technology startups (or both), particularly on merger & acquisition, share subscription in startups, portfolio management, or exits.
